TERMS AND CONDITIONS FOR ALL USERS OF BECOMING 1 WEBSITE AND APPLICATION

The Terms and Conditions set out below (hereinafter referred to as the “Terms and Conditions”) shall be applicable to your use and access to the of Becoming1 platform which is accessible through, including but not limited to the website www.becoming1.com.sg/http://www.becoming1.sg and through mobile “Android” or iOS” application (the “Becoming 1 Platform”) which is owned and managed by The Augar Pte. Ltd., a company incorporated under the laws of the Republic of Singapore bearing Singapore Company Registration Number 201617568N and having its registered address at CT Hub, #09-09, 2 Kallang Ave, Singapore 339407 (hereinafter referred to as the “Company”).

For full use of the facilities and services available at the Becoming 1 Platform, you are required to sign up or register by creating an account either as a “User” or as a “Guest” (as defined hereto) on the Becoming 1 Platform.

By accessing or using Becoming 1 Platform either as a Guest or by opening an account as a User, you consciously represent that you consent to accept, understand and agree to be bound, subject to, observe and comply with all the terms and conditions in the Terms and Conditions. These Terms and Conditions is a binding agreement between the Company and the User/Guest or anyone that accesses the Becoming 1 Platform.

Please read these Terms and Conditions carefully as they affect your rights and liabilities under the law. If you do not agree to these Terms and Conditions, please do not register for or use the Becoming 1 Platform.

  1. Definitions and General Terms
    1. Becoming 1” is a service offered by the Company that may be used by a User and/or a Guest to access and use the Becoming 1 Platform as a wedding planner and reservation application on their mobile device (as the case may be).
    2. Becoming 1 Application” and “Application” means an application for mobile devices that can be downloaded by the User from the Apple App Store (for iOS devices) and Google Play Store (for Android devices).
    3. Becoming 1 Platform” and “Platform” means the online website platform available only to the Wedding Couple, and Becoming 1 Application which offers Becoming 1 Service to Users to share details and content, and for the Wedding Couple to customise their wedding details, and on the Apple App Store (for iOS devices) and Google Play Store (for Android devices).
    4. Becoming 1 Service” and “Service” means any service offered by the Company which may be obtained through and from the use of the Becoming 1 Application or the Becoming 1 Platform, as may be determined by the Company from time to time.
    5. Becoming 1”, “our”, “we”, and “us” means the Company and its successors and assigns.
    6. Personal Data” refers to all and any information relating to you obtained by us in the course of and as a result of the provision of the Service or disclosed to the Company about you or the Wedding Couple who can be identified (a) from that data alone; or (b) from that data and other information which the Company has or is likely to have access, including but not limited to: National Registration Identity Card number, addresses, names, phone numbers, emails, photos, videos, photographs, media and any other contact details;
    7. Personal Data Laws” means all applicable Personal Data laws including the Personal Data Protection Act 2012 (Singapore) and the General Data Protection Regulation (EU).
    8. User” means anyone who uses the Becoming 1 Platform
    9. Wedding Couple” means a person(s) who has contracted for the full Services of the Company, who intends to use the Becoming 1 Platform/Application to arrange and plan their wedding.
    10. You” or “you” means a User, the Wedding Couple or “Guest” of the Wedding Couple.
  2. Registration
    1. Prior to a User being able to obtain full access to the Service on the Becoming 1 Platform, the Wedding Couple is required to enter into a separate Service Agreement for the provision of the Service to the Wedding Couple and their guests.
    2. As part of the Becoming 1 Platform, you will be required to create and register an account in your Application (“Registration”). You must provide a display name as part of the Registration. The display name provided by you will be displayed in the Becoming 1 Platform, and may be visible to other Users of the Becoming 1 Platform.
    3. You acknowledge, agree and warrant that you are, and will at all times be, in compliance with the following:
      1. you have a valid email address.
      2. you have a valid mobile number; and
      3. you must inform us immediately of any changes to the Personal Data that you have provided by updating your personal details in order that we can communicate with you effectively;
      4. you must ensure the Personal Data provided by you on registration or at any time are correct and complete;
      5. you are at least 18 years of age;
    4. Upon Registration, you may upload an image of yourself and this uploaded image may be visible to other Users of the Becoming 1 Platform. Your uploaded image will be kept in the Becoming 1 Platform unless deleted by you.
    5. When you register to use the Becoming 1 Platform, you will be asked to create a password. You must use your personal password to access and use the Becoming 1 Platform. You are responsible for safekeeping and maintaining the confidentiality of your Password. You agree to take reasonable measures and all due care to protect your Password against misuse by third parties. If you know or suspect that someone else knows your password you should notify us immediately and reset your Password should you notice that your Becoming 1 Platform has been accessed or used without your knowledge, authority or consent.
    6. If the Company has reason to believe that there is likely to be a breach of security or misuse of the Becoming 1 Platform, we may require you to change your password or we may suspend your account.
    7. We may suspend or cancel your Registration immediately at our reasonable discretion or if you breach any of your obligations under these Terms and Conditions.
    8. You can cancel your Registration at any time by informing us in writing at support@becoming1.com.sg.
    9. The suspension or cancellation of your Registration and your right to use the Becoming 1 Platform shall not affect either party’s statutory rights or liabilities.
  3. Data Protection
    1. The Company shall comply with all its obligations under applicable Personal Data Laws at its own cost.
    2. You expressly agree to the Company to process, use or disclose Personal Data to contact you via MAIL/E-EMAIL/Telephone/SMS-TEXT (regardless of current or future Do Not Call Registry registration) for the following purposes which include but are not limited to:
      1. for the purposes of fulfilling its obligations and providing the Service to you and the Wedding Couple which may include contacting you through any;
      2. processing feedback and dealing with complaints;
      3. processing orders and administering accounts;
      4. providing updates to you and the Wedding Couple;
      5. communicating with you regarding the Service;
      6. marketing to you about our Service or new services;
      7. research by the Company;
      8. use for the purposes of advertisements regarding our services;
      9. share your personal data with third parties in Singapore or in other jurisdictions to fulfil of any other purpose herein; and
      10. meeting regulatory and legal obligations.
    3. If Personal Data is transferred to any third party, the Company shall procure a written undertaking from such third party that they will protect your Personal Data on terms equivalent to those provided in these Terms and Conditions.
    4. The Company commits to protecting Personal Data confidential and secure and shall make reasonable security arrangements (including, where appropriate, physical, administrative, procedural and information technology measures) to prevent unauthorised or accidental access, collection, use, disclosure, copying, modification, disposal or destruction of Personal Data, or other similar risks.
    5. The Company relies on the Personal Data we hold to perform the Service. It is your responsibility to ensure that the Personal Data held by us is accurate and up-to-date. We shall retain the Personal Data for a reasonable period for the purposes as cited herein until you request for us to delete the Personal Data or as required by law. Where we have been requested to delete your Personal Data, we may not be able to continue providing the Service to you or the Wedding Couple in which event, we shall not be responsible to you or the Wedding Couple for the Service in so far as the lack of your Personal Data results in the non-performance of the Service.     6. Becoming 1 Platform may use “cookies” in order to enhance your user experience. By accessing the Becoming 1 Platform, you are aware of and agree to our Terms and Conditions. A cookie is a small file that is sent to your browser to store and track information about you. Once the file is added, the cookie helps us analyse web traffic and gathering and remembering information about your preferences. We use traffic log cookies to identify which pages on the Becoming 1 Platform are being accessed by you. This helps us analyse data about web page traffic and improve the Becoming Platform in order to improve our Service to you.
  4. Acknowledgement and Agreement
    1. You acknowledge and agree that:
      1. The Becoming 1 Platform is provided to you subject to these Terms and Conditions. By using the Becoming 1 Platform, you agree to be bound by these Terms and Conditions including any amendments to these Terms and Conditions that the Company may in its discretion from time to time make. We may update these Terms and Conditions from time to time for legal or regulatory reasons or to allow the proper operation of the Becoming 1 Platform. Any changes will be notified to you via the email address provided by you in the case of the Wedding Couple or via a suitable announcement on the Becoming 1 Platform or through email in the case of other Users. The changes will apply to the use of the Becoming 1 Platform after we have given notice. If you do not wish to accept the new Terms and Conditions you should not continue to use the Becoming 1 Platform. If you continue to use the Becoming 1 Platform after the date on which the change comes into effect, your use of the Becoming 1 Platform indicates your agreement to be bound by the new Terms and Conditions
      2. you will be responsible for obtaining and using the necessary software and/or device, hardware and/or equipment necessary to obtain access to the Becoming 1 Platform at your own risk and expense;
      3. you will be responsible to your mobile service provider for all data charges relating to:
        1. the download of the Application;
        2. any upgrades you request in relation to the Becoming 1 Platform; and
        3. your ongoing access to and use of the Becoming 1 Platform;
      4. the access to and use of the Becoming 1 Platform is offered to you on an “as available, where available” basis;
      5. although we aim to offer you the best service possible, we make no promise that the services on the Becoming 1 Platform will meet your requirements. We cannot guarantee that the Service will be fault-free. If a fault occurs with the Becoming 1 Platform you should report it to support@becoming1.com.sg and we will attempt to correct the fault as soon as we reasonably can.
      6. your access to the Becoming 1 Platform may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can.
      7. you are solely responsible and liable for any access to and use of the Becoming 1 Platform effected through the use of your Password, notwithstanding that your Password may have been used by any other person without your knowledge, authority or consent;
      8. where applicable, you shall examine all entries in the transaction history listed in your Becoming 1 Platform (“Transaction History”) and report any transactions wrongly made or made without authority or inaccurate entries in the Transaction History. You must object to any transaction (“Transaction”) or any other inaccuracies in writing to us at finance@becoming1.com.sg within 5 days after the entry appears in the Transaction History. If you do not do so, the Transaction will be deemed correct except where (and only to the extent that) you have conclusively established in the Courts of Singapore that a manifest error or fraud has been committed by us;
      9. your mobile number may be visible during the use of the Becoming 1 Platform and to the recipient of incoming funds transferred from you;
      10. the Company is entitled to send you “push notifications” and SMS notifications (“Notification”) relating to your access to and use of the Becoming 1 Platform and any updates on related services;
      11. the Company is deemed to have sent the Notification to you, even if you are unable to or do not receive the Notification for whatever reason;
      12. the Becoming 1 Platform may provide content from other Internet sites or resources and while Becoming 1 tries to ensure that material included on the Becoming 1 Platform is correct, reputable and of high quality, it does not make any warranties or guarantees in relation to that content. If the Company is informed of any inaccuracies in the material on the site we will attempt to correct the inaccuracies as soon as we reasonably can.
      13. the Becoming 1 Platform and Services may include links to sites on the Internet that are owned and operated by third parties (“Third Party Sites”), and if you choose to access these Third Party Sites, you agree to review and accept the terms of use. The Company has no control over and excludes all liability for and does not assume any responsibility for material created or published by such Third Party Sites. You further agree not to infringe, or cause the Company to infringe, any third party’s intellectual property rights, and shall keep the Company indemnified against all losses, damages, expenses, costs and fees suffered or incurred by the Company, with respect to such infringement;
      14. the Company may change, add or remove any feature or functionality of the Becoming 1 Platform without prior notice. You are deemed to accept such change if you continue to use the Becoming 1 Platform;
    2. By uploading your photos and/or videos (“Media”) to the Becoming 1 Platform, you expressly consent to other Users viewing, downloading, and accessing copies of your uploaded photos and/or videos. You further agree that any comments and/or messages posted by you on the Becoming 1 Platform is viewable by other Users and that such Media, comments and/or messages shall remain on the Platform for the duration of the Service to the Wedding Couple unless deleted by you.
      1. For the purposes of Clause 4.2, the Company shall ensure that any Media uploaded to the Becoming 1 Platform shall only be accessible to other Users who have responded to the same wedding(s) that You have responded to.
  5. Limits of Responsibility and Liability
    1. Except as expressly provided in these Terms and Conditions, and to the full extent permitted by law, all express or implied rights, warranties, representations, guarantees, terms and conditions regarding the Service and their use (including without limitation their merchantability or fitness for any particular purpose), or regarding this Agreement are expressly excluded.
    2. In no event will the Company be responsible for any failure to perform the Service to the extent such failure is caused by:
      1. our compliance with any instruction given or purported to be given by you relating to a Transaction, notwithstanding that the integrity of the information comprised in such instruction may have been compromised or impaired, provided that such compromise or impairment would not have been apparent to a reasonable person receiving such instruction;
      2. use of the Becoming 1 Platform by third parties, whether authorised or unauthorised by you;
      3. your transfer of funds to the wrong mobile number, the wrong recipient or wrong third party;
      4. theft or loss of your device, hardware and/or equipment on which the Application is installed;
      5. your inability to effect or complete any Transaction due to system maintenance or breakdown/non-availability of the Becoming 1 Platform, network, hardware or software of the Company or third party recipients of your transfer of funds;
      6. any failure by us to perform any obligation or observe any of these Terms and Conditions if such failure arises from a failure of, or any unauthorised and/or unlawful access to, any machine, data processing system or transmission link or any act of force majeure such as acts of God, war or warlike hostilities, civil commotions, riots, blockades, embargoes, sabotage, strikes, lock-outs, fire, flood, shortage of material or labour, delay in deliveries from sub-contractors, or any event outside our control;
      7. any equipment or software providers, any service providers, any network providers (including but not limited to telecommunications providers, internet browser providers and internet access providers), or any agent or subcontractor of any of the foregoing; or
      8. any act or omission by the Company in compliance with any applicable laws and/or regulations, including laws governing personal data protection, and any instructions and/or directions given by any local or foreign regulatory body, government agency, statutory board, ministry, departments or other government bodies and/or its officials.
    3. To the fullest extent permitted by law, the Company is not liable for any loss suffered by a Guest as a result of the Service or from the use of the Becoming 1 Platform.
    4. The aggregate liability of the Company to the Wedding Couple for all claims arising under or in connection with the use of the Becoming 1 Platform (whether in contract, tort (including negligence) or otherwise) will to the full extent permitted by law not exceed the sum of all amounts paid by the Wedding Couple under the separate agreement for the Service. Notwithstanding the above, this Clause 5.4 shall not be applied to:
      1. claims in respect of injury to or death of person(s) to the extent caused by the Company’s negligence or wilful misconduct; and
      2. claims resulting from the Company’s wilful misconduct or fraudulent conduct.
    5. The Company shall not be responsible in any way for any direct, indirect, special or consequential, economic or other damages arising in any way from your entering into any Transaction, using the Becoming 1 Platform or the Service.
  6. Intellectual Property
    1. You acknowledge that the intellectual property rights in or to the Becoming 1 Platform are owned by the Company or its licensors and that they shall retain title to all intellectual property that the Company provides as part of the Service.
    2. No part or parts of the Becoming 1 Platform may be reproduced, distributed, republished, displayed, broadcast, hyperlinked, transmitted, adapted, modified to create derivative works or otherwise commercially exploited in any manner or by any means or stored in an information retrieval system without our prior written permission.
    3. The trademarks, service marks, and logo (“Trade Marks”) used and displayed in or through the Becoming 1 Platform are registered and unregistered Trade Marks of the Company and the relevant third parties.
    4. Nothing in the Becoming 1 Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trade Marks displayed in or through the Becoming 1 Platform, without our prior written approval.
    5. The Company is not responsible for any infringement claims due to any material that is posted on the Becoming 1 Platform by a User. The User further indemnifies and holds the Company harmless against all costs and damages adjudged against the Company in any action, litigation or claim based on material posted by the User. The User agrees that if the User fails to defend any such action, litigation or claim, the Company may defend such action, litigation or claim and the User agrees to compensate the Company for any reasonable expenses and damages relating thereto.
    6. The Company is not responsible for any infringement claims due to third-party equipment and/or software.
  7. Use of the Becoming 1 Platform
    1. Subject to the Service procured by the Wedding Couple, you may use the Becoming 1 Platform to:
      1. respond to wedding invitations by the Wedding Couple
      2. view your seating arrangements for the wedding;
      3. upload Media, posting comments and sending messages to other Users on the Becoming 1 Platform;
      4. send monetary gifts to the Wedding Couple(“Transfer”), subject to the provisions of Clause 7; and/or
      5. for any other purpose as Becoming 1 may from time to time introduce to the Becoming 1 Platform and notified to users.
    2. You may not use the Becoming 1 Platform for any of the following purposes:
      1. disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or otherwise breaching any applicable laws;
      2. transmitting material that encourages conduct that constitutes a criminal offence, or otherwise breaches any applicable laws, regulations or code of practice;
      3. interfering with any other person’s use or enjoyment of the Becoming 1 Platform; or
      4. making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.
    3. Subject to the Service procured by the Wedding Couple, you may transfer payments (“Payment”) from your account to certain third party billing organisations (“Billing Organisations”). You may also make payment from your account for goods or services (“Merchant Payment”) purchased from certain third party merchants (“Merchants”), online merchants who accept payment made via the Becoming 1 Platform (“Online Merchants”). In these Terms, Billing Organisations will be individually referred to as a “Billing Organisation”, Merchants will be individually referred to as a “Merchant”, and Online Merchants will individually be referred to as an “Online Merchant”.
    4. The Company reserves the right to add or remove a Billing Organisation, Merchant or Online Merchant from accepting payment via the Becoming 1 Platform at any time.
    5. The Company is not liable in any way for any claim or dispute arising between yourself and the Merchants in relation to the goods and services purchased from the Merchants using the Becoming 1 Platform. The Company is also not responsible for any benefits, discounts or programmes of the Merchants. The Company is not responsible for delivery of the goods or services provided by the Merchants and the Company makes no representation as to the quality, merchantability, fitness for purpose or provision or performance of any such goods or services. You acknowledge that we are not acting as agent for the Merchants.
    6. You agree that any complaints, claims, disputes or refunds in relation to goods and services provided by the Merchants shall be resolved between that merchant and yourself, and the Company shall not be responsible for any refunds made or to be made by the Merchants in respect of a Merchant Payment.
  8. Restrictions on uses of the Becoming 1 Platform for Transfer
    1. The Company may determine the following at its discretion in respect of Transfers:
      1. the maximum amount that you may send to a recipient of incoming funds transferred by you (“Maximum Amount”); and
      2. the maximum number of times you may transfer money to the Wedding Couple (“Maximum Transfers”).
    2. Information on the Maximum Amount, Maximum Daily Transfer and Maximum Transfers is available at www.becoming1.com.sg/static/faq/
    3. Subject to the provisions of Clauses 7.1.1 and 7.1.2, the User may be personally subject to the transaction fees incurred for the 3rd and subsequent Transfers.
  9. Governing Law
    1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Singapore and you irrevocably submit to the exclusive jurisdiction of the Singapore courts.
    2. We make no promise or representation that the Becoming 1 Platform is appropriate or available for use in locations outside the Republic of Singapore, and accessing the Becoming 1 Platform from jurisdictions where its contents are illegal or unlawful is prohibited. If you choose to access the Becoming 1 Platform from locations outside the Republic of Singapore, you do so on your own initiative and are responsible for compliance with applicable laws.
    3. A person who is not party to any agreement governed by these Terms and Conditions shall have no right under the Contracts (Right of Third Parties) Act (Cap. 53B) to enforce any of these Terms.
